1. Introduction and Acceptance

Welcome to AVB GLOBAL EXIM™, a brand of AVB PRECIPRO (OPC) PRIVATE LIMITED ("we," "us," or "our"). These Terms and Conditions of Service ("Terms") govern your engagement with our website and our AI-Assisted Technical Business Development and Sourcing services. By using our website or engaging our services, the "Client" (Buyer or Manufacturer) agrees to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

2. Our Role and Scope of Service

We operate as a AI-Assisted Technical Business Development and Global Sourcing Partner specializing in Industrial Tooling, Precision Machined Components, and Abrasives. Our core function is to bridge the gap between manufacturing capability and global demand. Our services primarily include:

• Technical Sourcing: Identifying and qualifying vetted third-party manufacturers.

• Market Representation: Representing products at digital and physical exhibitions.

• Trade Facilitation: Overseeing the logistics, documentation, and compliance chain for Export (out of India) and Import (into India).

• Strategic Consulting: Providing technical market intelligence and entry strategies.
  
  

3. Commercial Engagement

• Quotations: All price quotations provided by us (on behalf of manufacturers or as a direct offer) are non-binding estimates valid only for the period specified. They are subject to change based on raw material costs, currency fluctuations, and supplier pricing updates.

• Order Confirmation: An order is legally binding only upon the Client's written acceptance of the final Proforma Invoice and receipt of any agreed advance payment.

• Payment & Fees:

  • Phase 1 (Development): Unless explicitly agreed otherwise in writing, initial Sourcing and Market Mapping services are performed as a strategic investment by AVB.

  • Phase 2 (Success Fee): Our commercial model is primarily success-based. Commissions or Margins are applicable only upon the successful commercial sale and are governed by the specific Commercial Agreement signed with the Manufacturer or Buyer.
    
    

• Incoterms: All international trade transactions are governed by the specific Incoterms® 2020 (e.g., EXW, FOB, CIF) defined in the final Commercial Invoice.
  
  

4. Disclaimers and Limitation of Liability

• Nature of Role: AVB PRECIPRO acts primarily as a Technical Intermediary and Facilitator. Unless we explicitly issue the Commercial Invoice as a Merchant Exporter, the Contract of Sale is directly between the Buyer and the Manufacturer.

• Product Quality & Warranty: While we exercise rigorous engineering-led vetting, we do not manufacture the goods. We make no express or implied warranties regarding fitness for a particular purpose.

  • Warranty Claims: Any claims regarding defects or technical non-conformity are subject to the original Manufacturer’s Warranty Policy. AVB will actively facilitate the dispute resolution process to ensure fairness, but ultimate liability rests with the Manufacturer.

• Logistics & Force Majeure: We are not liable for delays, damage, or loss caused by Customs Authorities, Freight Forwarders, Shipping Lines, or Force Majeure events (Acts of God, war, political instability). Our liability is limited to the diligent oversight of the process.

• Liability Cap: To the maximum extent permitted by law, our total liability for any claim shall not exceed the specific Commission or Service Fee actually retained by AVB for the transaction in question. We are not liable for consequential damages, including loss of profit or production stoppages.
  
  

5. General Provisions

• Intellectual Property (IP): We respect the proprietary nature of engineering data. Any technical drawings, CAD files, or specifications shared by the Client for sourcing purposes remain the Client's IP and are shared with manufacturers strictly under necessary confidentiality terms.

• User Conduct: You agree to use our services only for lawful business purposes and in compliance with international trade laws (including sanctions and dual-use restrictions).

• Governing Law: These Terms shall be governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Kozhikode, Kerala, India.
