1. Introduction and Acceptance

Welcome to AVB GLOBAL EXIM™, a brand of AVB PRECIPRO (OPC) PRIVATE LIMITED ("we," "us," or "our"). These Terms and Conditions of Service ("Terms") govern your engagement with our website and our AI-Assisted Technical Business Development and Sourcing services. By using our website or engaging our services, the "Client" agrees to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

2. Our Role and Scope of Service

We operate as a Technical Business Development Firm and Merchant Exporter specializing in Industrial Machinery, Precision Machined Components, and Cutting Tools. Our core function is to provide strategic consulting and export facilitation. We do not manufacture or hold physical stock of the goods we source. Our services primarily include:

• Technical Sourcing: Identifying and procuring goods from vetted, third-party Indian manufacturers and suppliers.

• Market Representation: Providing strategic marketing and representation services at national and international exhibitions.

• Export Facilitation: Managing the export logistics chain, including compliance documentation and shipping coordination.

• Strategic Consulting: Providing expert technical consulting to optimize client procurement processes and market entry strategies.
  
  

3. Commercial Engagement

• Quotations: All price quotations (including those for products, services, and logistics) are valid for the period specified in the quote. They are non-binding estimates and are subject to change based on supplier pricing, market fluctuations, and currency exchange rates.

• Order Confirmation: An order is only considered confirmed and legally binding upon the Client's written acceptance of our final quotation and our receipt of any required advance payment.

• Payment: Payment terms will be specified in the final commercial invoice. All payments for our services are governed by the terms set out in our separate Refund & Cancellation Policy.

• Incoterms: All sales of physical goods are governed by the mutually agreed-upon Incoterms specified in the commercial quotation, which define the transfer of cost, risk, and liability.
  
  

4. Disclaimers and Limitation of Liability

• Product Quality and Assurance: We act as a facilitator and are not the manufacturer. While we exercise engineering-led due diligence in procuring from vetted suppliers, we make no express or implied warranties regarding the quality, fitness, or performance of the products. Any claims related to product quality or defects must be addressed directly with the original manufacturer, and we will assist in facilitating this communication where possible.

• Shipping and Logistics: We are not liable for delays, damage, or loss of goods caused by third-party logistics providers, customs procedures, or Force Majeure events. Our liability is strictly limited to the diligent coordination and management of the shipment documentation.

• General Liability: To the maximum extent permitted by law, AVB PRECIPRO (OPC) PRIVATE LIMITED and its representatives shall not be liable for any direct, indirect, incidental, special, or consequential damages (including loss of profits or business data) arising from the use of our services. Our total liability for any claim shall not exceed the amount of fees paid by the Client to us for the specific service from which the claim arose.

5. General Provisions

• Intellectual Property: All content, including the AVB GLOBAL EXIM™ brand, logos, text, and graphics, are our exclusive property.

• User Conduct: You agree to use our services and Website only for lawful business purposes.

• Third-Party Links: Our Website may contain links to third-party sites; we assume no responsibility for their content or policies.

• Governing Law and Jurisdiction: These Terms shall be governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Kozhikode, Kerala, India.
